The "Handshake"

1. Introduction
 This agreement outlines the terms and conditions between ScaleCraft, LLC (“ScaleCraft”) and the Client.
 The terms of this agreement apply exclusively to the services detailed in the corresponding work order (s) issued by ScaleCraft and accepted by the Client.

2. Services and Work Order
 ScaleCraft will provide creative services as detailed in each work order, which will specify the scope of work, deliverables, timelines, and any other specific terms relevant to the services.

 Each work order constitutes a separate agreement and is subject to these general terms and conditions.

3. Use of Artificial Intelligence
 ScaleCraft reserves the right to use artificial intelligence (“AI”) in generating early-stage design elements and assets.
 The discretionary use of AI is intended to expedite and enhance the professional creative process, but will be limited to preliminary stages
only.
 Final deliverables provided to the Client will not only consist solely of AI-generated material, and will be the result of professional human
input and creative expertise.

4. Mutual Confidentiality
 Both parties agree to maintain the confidentiality of proprietary information, including but not limited to pricing, and trade secrets
disclosed in relation to the services and work order.
 Confidential information does not include information that is publicly known, legally obtained from another source, or independently
developed.

5. Use of Work and Client Logos
 ScaleCraft retains the right to showcase all work created under each work order and the Client’s logos for its public portfolio and
marketing materials.

6. Payment Terms
 ScaleCraft operates with specific payment terms as follows:

• • 50% of the total fee is required to be paid prior to the commencement of work.
• • The remainder balance is due upon completion of the work, as detailed in the work order.

 Payments are subject to the terms specified in the invoice and late payments may incur additional fees or interest as per the prevailing legal standards in North Carolina.

7. Mutual Indemnification
 Each party agrees to indemnify, defend, and hold harmless the other party from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with the other party’s breach of this agreement, negligence, or unlawful activity.
 This indemnification will survive the termination of the agreement and any work order.

8. No Warranties
 ScaleCraft provides its services and deliverables “as is” and without any warranties, expressed or implied, except as specifically stated in this agreement.
 ScaleCraft expressly disclaims all other warranties, including but not limited to implied warranties of merchantability and fitness for a
particular purpose, expect for the guarantee that the deliverables will be completed as scoped in the work order.

9. Official Notices
 Official notices under this agreement may be sent by email and shall be considered delivered on the date transmitted.
 Notices may also be sent to the mail addresses provided by each party on the work order.

10. Termination
 Either party may terminate a specific work order with written notice.
 Upon termination of a work order, the Client is responsible for payment of all services rendered up to the termination date of that
work order.

11. Limitation of Liability
 ScaleCraft’s liability under each work order shall be limited to the total amount paid by the Client for the services rendered under that specific work order.

12. Governing Law
 This agreement and any corresponding work orders shall be governed by and construed in accordance with the laws of the State of North Carolina.

13. Amendments
 This agreement and any work order may only be amended in writing, signed by both parties.

14. Acceptance
 By accepting a work order and engaging the services of ScaleCraft, the Client acknowledges and agrees to these terms.
